These Terms & Conditions ("Terms") govern your use of the Workvise platform (a product of Workvise Systems LLP). By accessing or using our platform, you agree to be bound by these Terms.
1. Definitions
- "Platform" refers to the Workvise web application at workvise.com and any related services.
- "Client" refers to any individual or business using the platform to engage services.
- "Service Provider" refers to Workvise and its execution team.
- "Project" refers to any scope of work agreed upon between Client and Service Provider.
2. Account Registration
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must be at least 18 years of age to create an account.
- One person or entity may not maintain multiple accounts.
3. Services
Workvise provides project management, real-time consultation, milestone-based execution, and billing services. The specific scope of each project is defined through quotes/orders created on the platform.
4. Payment Terms
- All payments are processed in Indian Rupees (INR) via Razorpay.
- Payment is required as per the milestone schedule agreed in the project order.
- Late payments may result in project delays or suspension of services.
- All prices are exclusive of applicable taxes unless explicitly stated otherwise.
5. Intellectual Property
- Upon full payment, the Client receives ownership of all custom-developed deliverables.
- Pre-existing frameworks, libraries, and tools used in development remain the property of their respective owners.
- Workvise retains the right to showcase the project in its portfolio (without disclosing confidential information) unless otherwise agreed.
6. Client Obligations
- Provide timely feedback and approvals within agreed timelines.
- Supply all required content, assets, and credentials as requested.
- Ensure that materials provided do not infringe third-party rights.
- Delays caused by the Client may affect project timelines and are not the responsibility of Workvise.
7. Limitation of Liability
To the maximum extent permitted by law, Workvise shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the platform or services. Our total liability shall not exceed the amount paid by the Client for the specific milestone in question.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement.
9. Termination
- Either party may terminate the engagement with written notice.
- Upon termination, the Client is responsible for payment of all completed work.
- Workvise reserves the right to suspend or terminate accounts that violate these Terms.
10. Dispute Resolution
Any disputes arising from these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India.
11. Governing Law
These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction.
12. Changes to Terms
We may modify these Terms at any time. Continued use of the platform after changes constitutes acceptance. We will notify registered users of material changes via email.
